Andrea Cataneo
Andrea Cataneo is a Partner in the corporate and securities practice at Lucosky Brookman LLP and a seasoned capital markets attorney with more than 25 years of experience advising issuers, public and private companies, investment banks, and institutional participants. Throughout her career, she has led over 200 capital markets transactions and helped companies go public through multiple pathways, bringing deep expertise in securities law and public company readiness.
She focuses on guiding companies through critical inflection points such as capital raises, public offerings, and strategic transactions, with an emphasis on maintaining clarity, control, and momentum throughout the deal process. Known for her execution-driven approach, she anticipates issues early, aligns stakeholders efficiently, and helps clients navigate complex regulatory and market environments while staying focused on achieving defined outcomes.
In addition to her legal practice, she is President of Corporate Roadshow, where she produces and co-hosts the “Off Road” Wall Street podcast and leads capital markets media and networking initiatives. She is also active in industry leadership and serves on the Board of the National Investment Banking Association, while maintaining a strong commitment to mentoring women in finance and law and supporting more equitable access to capital for women-led businesses.

What do you attribute your success to?
I attribute my success to building my practice through intentional business development and strong professional relationships, taking entrepreneurial risks—including stepping away from big law at times to create new opportunities—and benefiting from meaningful mentorship throughout my career.
What advice would you give to young women entering your industry?
I enjoy mentoring young women entering the profession, and my advice is to be intentional about both your practice area and your career path. Don’t assume that the largest law firms will automatically offer the best opportunities—while I spent nine years in big law and gained strong training, my greatest growth came from entrepreneurial environments and building my own practice, where I could develop my reputation and take on more meaningful opportunities earlier. Success in law ultimately depends on business development and relationship-building, yet young associates in large firms are often limited in their ability to network early on. I encourage seeking environments that allow you to build connections and gain exposure. I also advise staying open-minded about practice areas; some of the most rewarding and dynamic work, particularly in corporate and transactional law, can seem unexciting at first but is actually fast-paced, strategic, and full of opportunity, including strong visibility and leadership potential for women in underrepresented spaces.
What are the biggest challenges or opportunities in your field right now?
One of the biggest challenges in my field is the continued lack of representation of women in leadership and the inequity in access to capital for women-led businesses. Less than 20% of funding goes to women founders, which highlights a persistent gap in opportunity. While there are emerging funds and incentives supporting women-owned businesses, the scale is still not enough, making this both a significant challenge and an important opportunity for meaningful change.
What values are most important to you in your work and personal life?
The values most important to me in both my work and personal life are mentorship and actively lifting up other women, building strong and lasting professional relationships, and maintaining a deep commitment to growing and sustaining my business. Equally important is family, including prioritizing being present for my grandchildren and making time for the relationships that matter most outside of work.
